Corporate Guarantee Legal Certainty Provided Without Shareholder Approval

Dianrachma, Mitari, Sugiyono, Heru, Sakti, Muthia
Abstract: The agreement providing a corporate guarantee does not provide a limit on the nominal amount that will be guaranteed by the corporate guaranteed provider because the corporate guarantee provider will guarantee the entire… debt including interest, fines, fees and other amounts of money that must be paid. In Indonesian limited liability company law, directors are required to seek shareholder approval in the case of pledging more than fifty percent of the company's assets, but in practice, approval from shareholders is not always required to provide a corporate guarantee. Especially in the case of corporate guarantees known as limited corporate guarantees, where the guarantee value does not exceed fifty percent of the Company's total assets. The aim of this research is to analyze the legal certainty of providing corporate guarantees without shareholder approval for credit applications whose value is less than fifty percent of the Company's assets. This type of research is normative juridical, namely a type of research with a conceptual approach. This research has the result that a corporate guaranteed agreement to guarantee the value of a credit facility whose value is not more than 50% of the company's assets provided without shareholder approval does not provide legal certainty.

Rini Wahyuni, Abdul Rahman Nur, Salmi, Haedar Djidar, Muh. Rifqy Ramadhan
This study is motivated by widespread violations of Environmental Approvals in nickel mining activities in East Luwu Regency, resulting in ecological damage, while administrative sanctions have failed to provide a deterrent effect. This research aims to analyze the effectiveness of administrative sanction enforcement, identify legal obstacles, and formulate environmental law enforcement solutions at the regional level. The method employed is normative legal research utilizing statutory and conceptual approaches. The results indicate that sanction implementation is still dominated by written warnings and technical corrective actions. Primary obstacles stem from the recentralization of authority post-Job Creation Law, a shortage of certified supervisory personnel, and corporate lawsuits filed with the State Administrative Court. As a solution, this study proposes optimizing Supervision Minutes recommendations to the central government, applying the polluter pays principle, launching regional Company Performance Rating Programs in Environmental Management (PROPER), utilizing emergency discretion, and establishing a cross-jurisdictional Integrated Task Force. These solutions serve as strategic steps to strengthen institutional collaboration and ensure sustainable environmental protection.

M Egi Alfarizi, Ade Pratama, Rahayu Trisetyowati Untari
Abstract: Course timetable preparation in the Information Technology Study Program at Universitas PGRI Sumatera Barat is still performed in spreadsheets, typically requires three to five days, and can produce instructor, class, or… room conflicts. This study develops a web-based scheduling information system that centralizes timetable data, detects collisions automatically, and offers alternatives with support from the Google Gemini API. Development followed the Waterfall System Development Life Cycle, comprising requirements analysis, design, implementation, testing, deployment, and maintenance. The application was built with PHP, Laravel, and MySQL. A deterministic rule identifies overlapping allocations involving the same instructor, class, or room on the same day. Gemini is used only to rank and explain feasible candidates; the application revalidates each recommendation, and the Study Program Secretary retains final approval. Black-box testing of ten functions achieved a 100% success rate. Beta testing produced an average score of 89.22% from three experts and 89.79% from two users, with both results classified as Very Good. The findings indicate that the system is highly feasible for integrated course timetable preparation and administration.

Etika Terang dalam Matius 5:16; antara Kesaksian Iman dan Bahaya Pencitraan Diri

Nik Anna, Markus Suwandi, Yahyo Nehemia Suyadi, Marga Diraja
Abstract: The growing dominance of self-image construction in modern religious practice has diminished the authenticity of faith and shifted moral orientation from God toward public approval, indicating the need for an ethical framework… mework capable of realigning the direction of Christian witness. This study employs Matthew 5:16 as the basis for reinterpreting the ethics of light as a corrective to performance-oriented religiosity and for formulating principles of sincere, theocentric, and contextually relevant faith testimony. The research utilizes literature review and historical-grammatical exegesis of the key Greek terms φῶς (phōs), καλὰ ἔργα (kalā erga), and δοξάσωσιν (doxasōsin), drawing on academic commentaries and recent scholarly findings. The analysis demonstrates that the ethics of light is not merely a moral exhortation but a participatory ethic that positions human beings as reflectors of God’s love rather than autonomous producers of moral virtue. Authentic good works direct glory to the Father, eliminating the pursuit of social recognition and rejecting religious self-presentation. The concept of hidden righteousness emerges as a theological critique of visual culture that prioritizes visible spiritual performance, affirming instead that genuine piety grows through inner integrity and spiritual perseverance. Its relevance to the digital age is expressed through a form of faith witness that promotes justice, solidarity, and consistent spiritual character within public spaces shaped by identity curation. The study concludes that the ethics of light constitutes a spirituality of witness integrating faith, morality, and social responsibility while offering novelty through a theocentric reinterpretation of the ethics of light as a constructive critique of contemporary religious self-imaging and an ethical paradigm for cultivating authentic Christian faith in the digital era.
